These Terms of Service ("Terms") govern your access to and use of OwnerReply.ai (the "Service"), operated by OwnerReply.ai ("OwnerReply," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

OwnerReply.ai is a software platform that connects to your review platforms (Google, Facebook, Trustpilot, the Apple App Store, and Google Play), syncs your reviews, generates AI-suggested responses, and lets you publish replies. Features may change, expand, or be discontinued over time.

2. Eligibility & Accounts

You must be at least 16 years old and authorized to act on behalf of the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

3. Connected Accounts & Authorization

When you connect a third-party platform, you authorize OwnerReply.ai to access and act on your behalf within the scope you grant — including reading reviews and posting replies you approve. You represent that you have the right to connect those accounts and that your use complies with each platform's own terms. You may disconnect a platform at any time, which revokes our access.

4. AI-Generated Content

The Service uses artificial intelligence to suggest responses to reviews. AI output may contain errors and is provided as a draft. You are responsible for reviewing and approving any response before it is published. You remain solely responsible for the content you choose to publish to any platform.

5. Acceptable Use

You agree not to:

• Use the Service to post unlawful, deceptive, harassing, or fraudulent content
• Publish fake reviews or manipulate review platforms in violation of their rules
• Reverse engineer, scrape, or attempt to disrupt or gain unauthorized access to the Service
• Resell or sublicense the Service without our written permission
• Use the Service to violate any applicable law or third-party rights

6. Subscriptions & Payment

Paid plans are billed on a recurring basis through our payment processor, Stripe. Fees are charged in advance and are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing with reasonable advance notice.

7. Intellectual Property

The Service, including its software, design, and trademarks, is owned by OwnerReply.ai and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service. You retain ownership of your business content and review data; you grant us the limited rights necessary to operate the Service for you.

8. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or use the Service in a way that risks harm to others or to the platforms we integrate with. Upon termination, your right to use the Service ends and we will delete your data as described in our Privacy Policy.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate or suitable for your purposes.

10. Limitation of Liability

To the maximum extent permitted by law, OwnerReply.ai will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless OwnerReply.ai from any claims, damages, or expenses arising out of your use of the Service, your content, or your violation of these Terms or any third-party rights.

12. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, provide notice by email or in-app. Continued use of the Service after changes take effect constitutes acceptance.
